​Introduction

This Agreement (“Terms”) constitutes a legally binding contract between you, as the end user, and Polymet Inc. (hereinafter referred to as “Polymet,” “we,” “our,” or “us”). These Terms govern your access to and use of the Polymet website (the “Site”) and all services, features, and functionalities made available through the Site (collectively, the “Services”). By accessing or using the Site and Services, you hereby:

  • Expressly acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety
  • Accept and agree to be legally bound by all provisions contained within these Terms
  • Consent to our Privacy Policy, which is incorporated by reference and available at polymet.ai/privacy-policy
  • Represent and warrant that you will comply with all applicable local, state, national, and international laws and regulations ​

License to Use Our Services

Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable license to use our Services. You may use our Services for both personal and commercial purposes, as permitted by your subscription plan and these Terms.

Polymet continuously modifies and improves its services. We reserve the right to introduce new products and features, modify existing ones, or discontinue any part of our services at any time. Currently, we offer the following product:

  • Polymet Web Platform – a cloud-based platform to generate user interfaces ​

Ownership of User Generated Content

All content, including but not limited to designs, code, and user interfaces, generated through the use of the Services (“User Generated Content”) shall be the sole and exclusive property of the user who created it. Polymet shall not claim any ownership rights over such User Generated Content.

**Exception for Free Plans: **

Notwithstanding the foregoing, users on the Free Plan acknowledge and agree that Polymet may append a visual attribution such as “Built with Polymet” to any public-facing designs or interfaces created using the Services. Such attribution shall not be construed as a claim of ownership by Polymet but rather as a designation of origin in accordance with industry-standard practices.

Restrictions on Use of User Content

Polymet shall not use, retain, or access any user-provided content or User Generated Content for the purposes of training, fine-tuning, or improving any machine learning models, algorithms, or artificial intelligence systems. All user content and User Generated Content shall be considered user Confidential Information and shall not be utilized beyond the scope strictly necessary to provide the Services to the user.

Security, Data Privacy and Marketing Communications

Security: Polymet employs comprehensive physical, technical, and administrative security protocols to safeguard your information against unauthorized access, destruction, alteration, or disclosure. We maintain full PCI DSS (Payment Card Industry Data Security Standard) compliance for all payment processing and use industry-standard HTTPS encryption for all data transmission. Our website uses SSL/TLS certificates to ensure secure connections between your browser and our servers. We implement robust firewall protections, regular security audits, and follow security best practices to protect your data. Nevertheless, given the inherent risks associated with Internet transmission and electronic storage, we cannot guarantee absolute security of your information.

Privacy: We gather and process specific data and information related to your service usage and compliance with these terms. All data collection and usage adheres to our privacy policy, which you hereby acknowledge. To enhance our services, we employ analytical methodologies to evaluate service utilization patterns. For comprehensive details regarding these methodologies and types of data collected, please consult our privacy policy.

Subpoenas: These Terms do not restrict our compliance with legal requirements, subpoenas, or court orders regarding data disclosure. However, we will employ commercially reasonable efforts to notify you of such disclosures where legally permissible. Polymet maintains a careful balance between protecting your privacy rights and meeting legal obligations.

Marketing Communications: You may separately consent to receive marketing communications. You may withdraw this consent at any time by utilizing the unsubscribe mechanism within the email or by directly contacting us at info@polymet.ai. ​

Fees, Charges and Other Payments

You agree to pay all fees and charges associated with your use of the Services. For detailed pricing information, please contact Polymet at info@polymet.ai. We use Stripe, Inc. (“Stripe”) to process payments. When using our Services, you agree to provide Stripe with accurate, current, complete, and authorized information about yourself, your business, and your payment card details. We accept payments in USD. Accepted payment method is displayed during checkout with corresponding logos. By providing payment information to Stripe, you authorize Polymet to charge you immediately for all fees and charges due—no additional notice or consent is required. You must promptly update your payment details in Stripe if your billing address or payment card information changes.

We may suspend or terminate your account and Services if any fees remain unpaid. All payments exclude federal, state, local, and foreign taxes, duties, tariffs, levies, withholdings, and similar assessments. You agree to pay all such charges, except for taxes based on Polymet’s net income. We reserve the right to modify our fees and charges periodically, with notice provided via email or through the Services. ​

Third Party Services and Platforms

A “Third-Party Service” refers to any external software, service, data source, content, website, or other product not provided by Polymet but integrated with our Services (such as Github, Figma, etc). These Third-Party Services may interact with or be necessary for the functioning of our Services, and may have their own terms of use.

To enable integration with Third-Party Services, users may need to provide access credentials. By enabling such integrations, you explicitly authorize Polymet to access your Third-Party Service accounts as necessary for the purposes outlined in these Terms. You are responsible for complying with all Third-Party Service terms and maintaining your accounts in good standing. PLEASE NOTE: POLYMET ASSUMES NO RESPONSIBILITY OR LIABILITY FOR THIRD-PARTY SERVICES OR ANY USER DATA TRANSFERRED TO SUCH SERVICES.

Polymet reserves the right to modify or discontinue Third-Party Service integrations at any time. We will notify users if such changes significantly impact our Services. These Terms govern your use of our Services regardless of how you access them, including through Third-Party Service integrations. POLYMET EXPLICITLY DISCLAIMS ALL LIABILITY AND MAKES NO ENDORSEMENT OF ANY THIRD-PARTY SERVICE. ​

AI-Generated Content and Intellectual Property

Input and Output Definitions: “Input” refers to any prompts, text, voice, image, or other content you provide to the Services. “Output” refers to the designs, user interfaces, code, and related content generated by Polymet’s Services in response to your Input.

Ownership and Licensing: As between you and Polymet, and to the extent permitted by applicable law, you retain ownership of your Input and all Output generated specifically for you. Polymet grants you exclusive rights to commercially use, modify, and distribute the Output generated for you. You grant Polymet a limited license to use your Input and Output solely to: (1) operate the Services for your benefit, (2) maintain service quality, (3) fix bugs and technical issues, and (4) improve the underlying service performance.

Non-Exclusivity of Output: Due to the nature of generative AI technology, the possibility exists that similar (but not identical) outputs could be generated for different users based on different inputs. However, Polymet implements technical measures to maximize the uniqueness of your Output and will not knowingly provide identical Output to multiple users. You maintain full commercial rights to your specific Output.

Input Responsibility: You represent and warrant that you have all necessary rights and permissions to submit Input to Polymet and that your Input does not violate any laws or third-party rights, including intellectual property, data protection, or privacy rights. ​

Your License and Acceptable Usage

  1. Subject to the terms and conditions of these Terms, we hereby grant you a limited, non-exclusive, non-transferable, non-sublicensable license worldwide (with the exception of (i) jurisdictions that are embargoed or designated as supporting terrorist activities by the United States Government and (ii) jurisdictions whose laws do not permit engaging in business with Polymet or use of the Services) for you to access and use the Services for your internal business or personal purposes, depending on your account type (only in a manner that complies with all legal requirements that apply to you or your use of the Services, including the Polymet Privacy Policy and these Terms). Polymet may revoke this license at any time, in its sole discretion.
  2. Acceptable Use: you must comply with the following rules regarding acceptable use of the services. You may not:
  • access, tamper with, or use non-public areas of the Services, Polymet’s computer systems, or the technical delivery systems of Polymet’s providers;

  • attempt to disrupt or overwhelm our infrastructure by intentionally imposing unreasonable requests or burdens on our resources (e.g. using “bots” or other automated systems to send requests to our servers at a rate beyond what could be sent by a human user during the same period of time); or

  • access or search the Services by any means other than by using the interfaces provided for your authorized use by Polymet (for example, “scraping”);

  • probe, scan, or test the vulnerability of any system or network or breach or circumvent any security or authentication measure;

  • interfere with or disrupt the access of any user, host or network, including, without limitation, by sending a virus, overloading, flooding, spamming, or mail-bombing the Services.

  • Misuse of the Services. You may not utilize the Services to carry out, promote or support:

  • any unlawful or fraudulent activities;

  • any renting, leasing, distributing, sublicensing, or otherwise providing access to the services to a third party; or

  • the sending of unsolicited communications, promotions advertisements, or spam;

  • the impersonation of another person or entity or the misrepresentation of an affiliation with a person or entity in a manner that does or is intended to mislead, confuse, or deceive others;

  • the publishing of or linking to malicious content intended to damage or disrupt another user’s browser or computer;

  • the use of the services for competitive analysis or to build competitive products.

  • User Content Standards Within the Services:

  • violates any applicable law, any third party’s intellectual property rights, or anyone’s right of privacy or publicity;

  • is deceptive, fraudulent, illegal, which, if we become aware of, we will remove and report to law enforcement;

  • contains viruses, bots, worms, or similar harmful materials; or

  • contains any information that you do not have a right to make access or use under law or any contractual or fiduciary duty.

  • Violations of this Section. In addition to any other remedies that may be available to us, Polymet reserves the right to take any remedial action it deems necessary, including immediately suspending or terminating your account or your access to the services, upon notice and without liability for Polymet should you fail to abide by the rules in this Section or if, in Polymet’s sole discretion, such action is necessary to prevent disruption of the Services for other users.

Disclaimer

Output Accuracy: While the Services use advanced AI technology, generated Output may sometimes be incomplete or contain inaccuracies. Polymet warrants that the Output will substantially conform to the description of the Services provided. You remain responsible for validating, testing, and reviewing any generated designs or code before using them in production. ​

Trials and Betas

Product features identified as Alpha or Beta features (collectively “Early Access Features”) made available by Polymet are provided for testing purposes only. Polymet makes no commitment to include Early Access Features in future versions of the Services. Your use of Early Access Features is optional. Polymet may remove Early Access Features at any time without notice or liability. Nothing in this section limits liability for gross negligence, fraud, or willful misconduct.

Fulfillment Policy

Refund Policy:
All payments made to Polymet are non-refundable unless otherwise determined by Polymet at its sole discretion. Refunds may be considered in the following cases: (i) billing errors, (ii) duplicate charges, or (iii) other exceptional circumstances as determined solely by Polymet. If a refund is approved, it will be issued to the original method of payment used during the transaction. To initiate a refund request, users must contact support@polymet.ai and provide relevant billing information and a description of the issue.

Cancellation Policy: 
Users may cancel their subscription at any time by (i) navigating to the Projects page and opening the user menu, (ii) selecting “Manage Billing,” and (iii) choosing the “Cancel” option within the Stripe billing portal. Cancellation Terms
(i) Subscriptions remain active until the end of the current billing cycle. (ii) Users retain full access to platform features until the conclusion of the active subscription period. (iii) Canceled subscriptions will not automatically renew. (iv) Any unused credits will expire at the end of the subscription term. (v) Prorated refunds for unused portions of a subscription period are not issued unless required by applicable law or explicitly authorized by Polymet. Digital Service Notice
Polymet is a digital service that provides access to AI-powered product design tools through a cloud-based software platform. As such, traditional return policies do not apply. All sales are considered final unless otherwise specified in these Terms. ​

Limited Warranty

POLYMET WARRANTS THAT THE SERVICES WILL PERFORM SUBSTANTIALLY IN ACCORDANCE WITH THE DOCUMENTATION AND AS DESCRIBED ON OUR WEBSITE FOR THE DURATION OF YOUR SUBSCRIPTION. IF THE SERVICES DO NOT CONFORM TO THIS WARRANTY, POLYMET WILL USE COMMERCIALLY REASONABLE EFFORTS TO CORRECT THE SERVICES AT NO ADDITIONAL CHARGE. THIS WARRANTY DOES NOT APPLY TO ISSUES RESULTING FROM MISUSE, MODIFICATION, OR DAMAGE NOT CAUSED BY POLYMET. THIS LIMITED WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS. YOU MAY HAVE ADDITIONAL RIGHTS WHICH VARY BY JURISDICTION. THE ABOVE WARRANTY IS EXCLUSIVE AND IN LIEU OF ALL OTHER WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. NO ORAL OR WRITTEN INFORMATION GIVEN BY POLYMET, ITS EMPLOYEES, LICENSORS OR THE LIKE, WILL CREATE ANY WARRANTY. ​

Termination

You can terminate these Terms at any time by ceasing to use the Services and providing written notice to us. Upon termination, you will not be entitled to a refund of any prepaid fees unless otherwise required by law or explicitly agreed by Polymet. If Polymet terminates your access without cause, we will provide a pro-rated refund for any prepaid, unused Services. We reserve the right to suspend or terminate your access to the Services if: (a) you materially violate these Terms, or applicable laws; (b) payment is not received; (c) your use poses a substantial security risk to other users or the platform; or (d) we are required to do so by law. We may suspend your account immediately without providing any cure period.

Publicity Rights

Provider may identify Customer and use Customer’s logo and trademarks on Provider’s website and in marketing materials to identify Customer as a user of the Product. Customer hereby grants Provider a non-exclusive, royalty-free license to do so in connection with any marketing, promotion, or advertising of Provider or the Product during the length of the Agreement.
